Terms of Service

By accessing or using the ClipperFC platform, website, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and ClipperFC ("Company", "we", "us", or "our"), a company incorporated in Nigeria. These Terms are governed by the laws of the Federal Republic of Nigeria.

We reserve the right to update these Terms at any time. We will notify you of material changes by email and by posting a notice on our website. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

To use ClipperFC, you must:

Age requirement: Be at least 18 years of age. If you are between 13 and 17 years old, you may only use the Service with the express consent and supervision of a parent or legal guardian.

Legal capacity: Have the legal capacity to enter into a binding contract under Nigerian law.

Compliance: Not be prohibited from using the Service under any applicable law or regulation, including any sanctions administered by the Nigerian government or international bodies.

Account integrity: Not have had a previous ClipperFC account terminated for violation of these Terms.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements.

Account registration: To participate as a creator, you must provide accurate, complete, and current information during registration, including your full legal name, a valid email address, and a valid Nigerian bank account for payouts.

Account security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] if you suspect any unauthorised access to your account.

Content standards: All content submitted to ClipperFC campaigns must comply with our Content Policy (see Section 6). You are solely responsible for the content you create and submit.

Accurate view data: You must not use bots, click farms, artificial traffic, or any other fraudulent means to inflate your view counts. ClipperFC employs fraud detection systems, and any account found to be generating fraudulent views will be permanently banned and all pending earnings forfeited.

Tax obligations: You are solely responsible for declaring and paying any income tax, VAT, or other taxes applicable to earnings received through ClipperFC under Nigerian law, including the Personal Income Tax Act and the Finance Act.

Campaign accuracy: Brands must provide accurate information about their products, services, and campaign objectives. Misleading or deceptive campaign briefs are strictly prohibited.

Budget and payment: Brands agree to fund campaign budgets in advance. ClipperFC will hold campaign funds in escrow and release payments to creators upon verified view delivery.

Content approval: Brands may set content guidelines and approve or reject creator submissions within the timeframes specified in the campaign brief. Failure to respond within the specified timeframe will be deemed acceptance.

Brand safety: Brands are responsible for ensuring their campaigns comply with all applicable Nigerian advertising standards, including guidelines issued by the Advertising Regulatory Council of Nigeria (ARCON).

Earnings calculation: Creator earnings are calculated based on verified view counts multiplied by the applicable CPM (cost per thousand views) rate set for each campaign. CPM rates may vary by campaign, content type, and platform.

Payout threshold: The minimum payout threshold is ₦5,000. Earnings below this threshold will accumulate until the threshold is met.

Payout schedule: Payouts are processed weekly, every Friday, to the Nigerian bank account registered on your account. Processing may take 1–3 business days depending on your bank.

Platform fee: ClipperFC charges a platform fee of 20% on all creator earnings. This fee covers platform operations, fraud detection, payment processing, and creator support services. The CPM rates displayed to creators are net of this fee.

Disputed earnings: If you believe there is an error in your earnings calculation, you must raise a dispute within 14 days of the relevant payout period. ClipperFC will investigate and respond within 10 business days.

Forfeiture: Earnings may be forfeited if your account is terminated for violation of these Terms, if fraud is detected, or if you fail to verify your bank account within 90 days of earning.

You may not create, submit, or promote content that:

Is illegal: Violates any Nigerian law or regulation, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, the Criminal Code Act, or any applicable state law.

Is harmful or offensive: Contains hate speech, incitement to violence, discrimination based on ethnicity, religion, gender, sexual orientation, or disability, or content that degrades or dehumanises any person or group.

Infringes intellectual property: Uses copyrighted music, images, video, or other materials without the appropriate licence or permission from the rights holder.

Is sexually explicit: Contains nudity, pornography, or sexually suggestive content involving minors under any circumstances.

Is deceptive: Makes false claims about products, services, or individuals, or constitutes defamation under Nigerian law.

Violates platform terms: Breaches the terms of service of the social media platform (TikTok, Instagram, YouTube, X, etc.) on which the content is published.

ClipperFC reserves the right to remove any content that violates this policy and to terminate accounts of repeat offenders without notice.

Waitlist participation: Joining the waitlist does not guarantee access to the platform. ClipperFC reserves the right to admit waitlist members at its sole discretion based on platform capacity and readiness.

Referral prizes: The waitlist referral competition prizes (₦500,000 for 1st place, ₦300,000 for 2nd place, ₦200,000 for 3rd place) will be awarded to the top three referrers by verified referral count at the time of platform launch.

Fraud disqualification: Any participant found to have used bots, fake accounts, purchased referrals, or any other fraudulent means to inflate their referral count will be permanently disqualified from the competition and removed from the waitlist.

Prize payment: Prizes will be paid to the winner's registered Nigerian bank account within 14 business days of platform launch. Winners may be required to provide identity verification before payment is released.

Modification: ClipperFC reserves the right to modify the referral competition rules, prize amounts, or end date at any time, with reasonable notice to participants.

ClipperFC IP: All trademarks, logos, platform design, software, and proprietary technology belonging to ClipperFC are our exclusive intellectual property. You may not use, copy, or reproduce any ClipperFC branding or technology without our prior written consent.

Your content: You retain ownership of all content you create. By submitting content to a ClipperFC campaign, you grant ClipperFC and the relevant brand a non-exclusive, royalty-free, worldwide licence to use, display, and promote that content in connection with the campaign for which it was created.

Feedback: If you provide suggestions, ideas, or feedback about the platform, you grant ClipperFC the right to use that feedback without any obligation to compensate you.

Service availability: ClipperFC is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

Earnings guarantee: We do not guarantee any specific level of earnings. Actual earnings depend on content quality, view counts, campaign availability, and other factors outside our control.

Limitation of liability: To the maximum extent permitted by Nigerian law, ClipperFC's total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total amount of earnings paid to you by ClipperFC in the three months preceding the claim.

Indirect damages: ClipperFC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

By you: You may close your account at any time by contacting [email protected]. Upon closure, any pending earnings above the payout threshold will be processed in the next regular payout cycle.

By ClipperFC: We reserve the right to suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law.

Effect of termination: Upon termination, your right to use the Service ceases immediately. Earnings that have been verified and are above the payout threshold at the time of termination will be paid out, unless the termination is due to fraud or a material breach of these Terms, in which case earnings may be forfeited.

Informal resolution: We encourage you to contact us first at [email protected] to resolve any dispute informally. We will make every effort to resolve disputes within 30 days.

Arbitration: If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004). The arbitration shall be conducted in English.

Governing law: These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Lagos State shall have jurisdiction over any matter not subject to arbitration.
